The firm collaborates with the New York office in providing integrated services to our clients. The firm provides a wide range of incorporation services.
The Tokyo business tax firm is leveraging more than 12 years of experience in handling U.S. business and tax matters for major Japanese corporations, entrepreneurs, and investors entering the U.S. market. The firm has launched an international business tax strategies initiative in Tokyo to provide integrated solutions for global clients doing deals involving international issues. The Tokyo office also handles cross-border equity and real estate investment issues for Japanese clients doing business in the U.S.
2. Incorporations
Although the firm could incorporate an entity in any jurisdiction within the U.S., for tax planning purposes as well as other non-tax factors, the firm primarily establishes corporations in Delaware, Wyoming and Nevada on behalf of our clients. The firm provides a wide range of services including corporate agency services in the State of incorporation. The firm ensures the clients comply with all U.S. Federal and State regulatory compliance filings, including obtainment of business licenses.
The firm has established several hundreds of U.S. corporations on behalf of our non-U.S. clients. We primarily establish two types of companies.
1. Registration of a Limited Liability Company. The firm files documents with the State Commissioner to obtain the Certificate of Formation for the newly established company.
A. Operating Agreement & Articles Organization. The firm's counsel drafts the corporate Operating Agreement and the corporate Articles of Organization on behalf of the limited liability company.
2. Registration of a C-Corporation (Stock company). The firm files the documents with the State Commissioner to obtain the certificate of formation.
A. Draft of the corporate by-laws. Counsel will draft the corporate by-laws.
3. Registered Agent Services
The firm works closely with the State Division of Corporations in providing registered agent services to hundreds of U.S. and international corporations.
